Warrant program for employees

Dataproces has decided to issue warrants to the employees for the purpose of retention and incentive tightening.

Dataproces has today, in accordance with the authorization in the articles of association 4.2., decided that all employees will be offered warrants in the company.

There will be entered into an individual agreement with each employee regarding the possibility of subscription within the framework of “share pay”, cf. Ligningsloven § 7P with agreements over 3 years, with annual maturation in thirds, for the first time in September 2021. Subscription and issue of new shares are expected to take place in September 2021, 2022 and 2023.

The Executive Board, the Board of Directors (excluding employee representatives) and employees under dismissal are not covered by the program. Employees pay DKK 0.02 in cash per share with a nominal value of DKK 0,02, which implies a favorable element of DKK 7,78 per share, calculated on the basis of the closing price on 21 June 2021.

The warrant program is estimated to result in the issuance of approx. 175.000 new shares annually during the term of the program from September 2021 to September 2023, calculated on the basis of the closing price on June 21^st 2021.

The final warrant program, and thus the benefit element and number of new shares, will be based on the volume-weighted average price for the month of July 2021.

When subscribing for new shares during the 3 maturity periods, the newly subscribed shares will each time be covered by a 12-month lockup period, and any unutilized warrants will lapse.
