Conscia, a leading European provider of cybersecurity, networking, and cloud managed services, announces an agreement to acquire Open Line, a Netherlands-based cloud managed services provider with strong positions in highly regulated sectors such as healthcare and the public sector.

Copenhagen, 11 July 2025 – The envisaged transaction represents the largest acquisition in Conscia’s history and marks Conscia’s 17th acquisition in the past five years.

Open Line has built its business on advanced cloud and automation capabilities, as well as a strong reputation in regulated sectors. Its broad portfolio of managed services would further strengthen Conscia’s relevance to customers, fully aligned with Conscia’s promise to safeguard data and operations so customers can focus on what matters to them. The envisaged acquisition would support Conscia’s growth in areas such as sovereign private cloud for data residency and managed services that ease the burden on customers’ staff.

The envisaged acquisition is fully aligned with Conscia’s ambition to become the pan-European leader in cybersecurity and managed services and would create a unique platform for group-wide sales synergies and cross-country collaboration.

“This transaction would not only add scale to Conscia Netherlands. It would significantly reinforce our pan-European leadership in managed services and reflect our strategic priority to scale Conscia’s platform and capabilities in areas that matter most to our customers, namely cybersecurity, cloud, and digital transformation,” says Erik Bertman, CEO of Conscia Group. “Open Line brings proven strengths in these domains, especially in highly regulated and mission-critical sectors. Together, we could deliver more value to more clients, at greater scale, while maintaining the deep customer focus that defines both companies.”

It is intended that Open Line would become part of Conscia under the leadership of Open Line’s current management, reporting to Marcel Cappetti, Managing Director of Conscia Netherlands. This structure would ensure continuity for Open Line’s customers and employees, while leveraging group-wide expertise.

“We strongly believe that combining Open Line with Conscia would be mutually beneficial, enabling both organisations to realise their growth ambitions,” says Marcel Cappetti. “We deeply respect the expertise, customer focus, and great talent of Open Line, which would remain key building blocks for Open Line’s success as part of Conscia. Together, we would create a powerful platform to drive innovation, support our customers’ digital journeys, and strengthen our leadership in the Dutch market.”

The envisaged acquisition would enhance Conscia’s service offerings across cloud, cybersecurity, and consulting, while also enabling expansion into high-growth areas such as eHealth as well as Data & AI.

“We look forward to working with Conscia to continue delivering secure, high-quality services and contributing to the Group’s growth across Europe. Becoming part of the Conscia family would enable us to build on our success while benefitting from a broader European platform that shares our values and ambitions. This step not only strengthens our ability to serve our customers more comprehensively but also opens exciting new opportunities for our employees to grow and develop in an international context.” says Emile Stam, Managing Director at Open Line.

Conscia was acquired by Nordic Capital in 2019 to support the company’s fast-paced expansion in Europe, through an active buy and build strategy in new and existing geographies.

“Nordic Capital is delighted to continue supporting Conscia’s ambition to build a pan-European leader in cybersecurity, networking, and cloud managed services. The envisaged acquisition of Open Line would be another significant step on this journey, strengthening Conscia’s position in mission-critical sectors and accelerating its growth across Europe. We continue to back Conscia’s team as they deliver on their vision to become the trusted partner of choice for customers with the highest demands,” says Aditya Desaraju, Managing Director of Nordic Capital.

Founded in 2002, Open Line is majority owned by Capital A. The parties have agreed not to disclose financial details of the transaction.

Closing is expected at the end of the third quarter or the beginning of the fourth quarter 2025, subject to customary conditions, including regulatory approvals and works council consultation procedures in the Netherlands.
