Company Announcement 07, 2021 - Astralis Group A/S increases share capital in connection with exercise of warrants

Astralis Group A/S announces that the company's share capital has been increased by 243,548 new shares with a nominal value of DKK 0.01 each, corresponding to a capital increase of nominally DKK 2,435.48 as a consequence of the exercise of warrants by employees and members of the board of directors granted under the company's warrant program.

The subscription price is DKK 0.01 per share with respect to 229,325 of the shares and DKK 4.07 with respect to DKK 14,223 of the shares, resulting in gross proceeds to the company of DKK 60,180.86.

Application will be made for admission to trading of the new shares on Nasdaq First North Growth Market Denmark following registration of the capital increase with the Danish Business Authority (expected 14 April 2021), upon which the share capital of Astralis Group A/S will be DKK 570,033.25 divided into 57,003,325 shares of DKK 0.01 each.

The following members of the board and directors and the executive management exercise warrants:

Nikolaj Nyholm (chairman of the board) acquires 26,770 shares by exercise of 26,770 warrants at a price of DKK 0.01 per share
Anders Hørsholt (CEO, member of the executive management) acquires 54,000 shares by exercise of 54,000 warrants at a price of DKK 0.01 per share
Jakob Hansen (CFO, member of the executive management) acquires 18,000 shares by exercise of 18,000 warrants at a price of DKK 0.01 per share
Jakob Lund Kristensen (CRO, member of the executive management) acquires 17,845 shares by exercise of 17,845 wrrants at a price of DKK 0.01 per share

The shares subscribed by way of exercise of warrants shall have the same rights as the other shares in the company. The rights shall enter into force upon the registration of the share subscription with the Danish Business Authority. Each share of DKK 0.01 carries one vote at general meetings.
