As planned Kjartan Jensen is stepping down as CEO of Dataproces. The new CEO taking over will be Michael Binderup, who has solid leadership experience from both the public and private sectors.
The management of Dataproces is being expanded at the same time with COO Kristina Koed, who over the past 11 years has contributed to Dataproces’ development, and who knows the business and customers to the last detail.
From June 15th 2023, Michael Binderup and Kristina Koed will ensure the continued growth of the SaaS business on the Danish public market, as well as continued development of the Data Analysis business.
The management in Dataproces Group A/S will from June 15th 2023 consist of: CEO Michael Binderup and COO Kristina Koed.
Kjartan Jensen continues in Dataproces in a new costumer focused role:

Michael Binderup come with extensive experience in the public market, where he has held management and leadership positions both in Aalborg and Jammerbugt Municipality within, among other things, finance, HR and digitalization. Most recently, he has worked with strategy, business development and bid-management at KMD.
Michael Binderup, new CEO:

My focus will be to secure the course set for the coming financial year, and in collaboration with the board, prepare the strategy for how we expand into new markets.”
Michael Binderup is educated Cand. Scientist. Adm. from Aalborg University and will take over the position as CEO of Dataproces on June 15th 2023.
Kristina Koed, COO:

As part of the remuneration model, the board has chosen to use its authorization in the articles of association. 4.2 and issued warrant agreements to the two new members of the management. Warrants are awarded free of charge, and without any additional conditions attached to the award
The warrant program runs over 3 years; 2024, 2025 and 2026. The program causes a maximum of 650.000 new shares to be issued over the 3 years, corresponding to a nominal DKK 13.000 of the company's capital. The number may be smaller, as the individual agreements expire upon termination of employment.
The final warrant program is based on a weighted average price over 30 trading days of the quoted price of the Company up to and including May 10th 2023, which is calculated at DKK 2,15.
When subscribing for new shares through the warrant program's maturity periods, the newly subscribed shares will each time be subject to a 12-month lock-up period.
The authorization in the articles of association 4.2 is reduced to nominal DKK 111.629.56, and the company's articles of association will be updated accordingly.
