Company announcement no. 12/2022 Inside information: Warrant program 2022 for employees completed.
With reference to company announcement no. 7 of 13th of July 2022, Dataproces Group A/S has as of today issued warrant agreements to the employees of the company. Warrants are awarded free of charge, and without any additional conditions attached to the award.
The warrant program has been implemented in accordance with the authorization in the company's articles of association. 4.2.
Warrant program runs over 1 year. The program causes a maximum of 186,103 new shares to be issued, corresponding nominally to DKK 3,722.05 of the company's capital. The number may be smaller, as the individual agreements expire upon termination of employment.
The final warrant program is based on the volume-based average price for the month of July 2021, which is calculated at DKK 3.92. Warrants are exercised at DKK 0.02, which implies a favorable element of DKK 3.90 per stock.
The warrant program has a maturity period of 12 months.
The authorization in the articles of association 4.2 is reduced to nominal DKK 113,475.11, and the company's articles of association will be updated accordingly.
