Notice of Extraordinary General Meeting

The Board of Directors of Dataproces Group A/S will convene the Company's shareholders to an Extraordinary General Meeting on 20 February 2026 at 1pm at the Company's address – alternatively via livestream.

 

As of today, Dataproces has summoned the company's shareholders to an extraordinary general meeting in order to consider a proposal for the election of two new board members.

 

All shareholders are encouraged to participate in the Annual General Meeting via livestream on Microsoft Teams, as further described in the attached notice. Although participation via livestream is encouraged, it will also be possible to physically attend upon presentation of a valid ID and access card.

 

When participating via livestream on Microsoft Teams, there will only be an opportunity to ask questions – and not to vote. Therefore, we encourage shareholders who wish to participate virtually to cast their vote on the shareholder portal either by postal vote or by proxy to the Board of Directors prior to the Annual General Meeting.

Registration for the general meeting is made on Dataproces Group A/S' shareholder portal. You can register and cast your vote up to and including Friday 20 February 2026 in accordance with Article 7.3 of the Company's Articles of Association.

Registered shareholders will subsequently be sent a link to electronic participation via Microsoft Teams and receive an admission card

Per Hansen - Investment Economist at Nordnet, since August 2012.  Per Hansen holds a Cand. Merc in Finance from Aarhus Business School, now Aarhus Business Social Science in 1989.

Morten Mortensen – Partner at Momentum Partners P/S, since February 2015. Morten Mortensen is financially educated and has supplemented with relevant continuing education

About the Shareholder Portal:

As a shareholder, you can see your shareholdings via the shareholder portal, register for the general meeting and order an admission card, cast a postal vote, give a proxy to the board of directors, to a 3rd party or make a power of attorney. When you log in to the shareholder portal, you can register your e-mail under Settings so that you can receive communication from Dataproces via e-mail in the future – including notices of future general meetings.
